We are updating the VisualCron End-User License Agreement, effective May 16, 2026. The following summary identifies key changes. This summary does not capture every change; we encourage you to review the full updated agreement at Terms and Conditions. You do not need to take any action. Continued use of VisualCron on or after May 16, 2026, constitutes your acceptance of the revised terms.

Summary of Changes

A new regulatory addendum has been added to the agreement. Exhibit A addresses DORA (EU Digital Operational Resilience Act) obligations applicable to our financial sector customers. If this regulation does not apply to your organization, this addendum does not impose additional obligations on you.

The trial period has been clarified to confirm it is available to new customers only. Existing customers may not use the trial period to obtain additional licenses.

Support limitations now include an express cross-reference to transitional services, providing customers a clearer picture of what support coverage applies during product transitions.

The service location provision has been updated to reflect Continuous' global customer base, including US customers. VisualCron is and remains installed in your own environment; you control where your data is stored.

The agreement has been updated throughout to reflect the Company's current operating name, "Continuous", in place of prior references.

Key defined terms throughout the agreement have been clarified for consistency and ease of understanding.

  1. Why did you update the Terms and Conditions?

We updated the agreement to reflect new EU regulatory requirements, modernize the structure, and improve transparency. The goal is to make the terms clearer and easier to understand for all customers.

  1. Do these updates change how I use VisualCron?

No. The updated agreement does not change your ability to use the software. The updates clarify your existing rights and describe responsibilities that already existed but were not previously set out in detail.

  1. Are there changes that benefit customers?

Yes. We improved readability, clarified support and subscription entitlements, added transparency around version support timelines, and explained how activation keys can be reset or moved. These updates help customers manage their installations with fewer ambiguities.

  1. Are there changes that increase customer obligations?

Only where necessary for clarity or to reflect how the product operates in practice. For example, support requires an active subscription in good standing, and different license types carry different server usage rules. These rules existed previously but are now more precisely defined.

  1. Does this update change the cost of my subscription?

No. This update does not affect your pricing, subscription term length, or renewal structure.

  1. Is VisualCron storing or processing my data?

VisualCron is installed in your own environment, and you control all data locations and storage. The updated agreement expressly clarifies this.

  1. What is DORA and why is it referenced?

DORA (the Digital Operational Resilience Act, EU Regulation 2022/2554) is a regulatory framework that applies to financial sector entities in the European Union and their ICT third-party service providers, including software vendors. We have added Exhibit A — the DORA Addendum — so that customers subject to DORA have the contractual documentation required for compliance. The Addendum establishes Supplier commitments covering ICT risk management, business continuity and disaster recovery, incident detection and reporting assistance, audit and inspection rights, subcontractor oversight, data location disclosure, and regulatory cooperation. Customers who are not financial entities subject to DORA are not affected by this Addendum, and it does not impose any additional obligations on them.

  1. What do I need to do?

You do not need to take any action. Continued use of VisualCron on or after May 16, 2026 constitutes your acceptance of the updated terms. We encourage you to review the full updated agreement before that date.
